This webinar presentation takes a comprehensive look at S-corporations and their owners. Designed for practitioners with a basic understanding of S-corporations, this full day program analyzes the issues related to the life cycle of an S-corporation. Included in this “A to Z” webinar will be various provisions brought about the Tax Cuts and Jobs Act of 2017 (TCJA) that impact S corporations. 

Course topics include: 

  • S-corporation formation including provisions brought about by the TCJA of 2017 and a brief discussion of the 199A deduction (20% deduction as it pertains to S corporations
  • Operations of an S-corporation
  • Administration issues including making the s election (including late elections)
  • Built in gain (BIG) tax, excess net passive income tax, and LIFO recapture
  • Stock basis and debt basis
  • Transactions with owners including compensation issues
  • Distributions including changes brought about by the TCJA of 2017 pertaining to distributions from a S corporation that has E&P remaining from when the corporation was a C corporation
  • Terminations and revocations including a discussion of whether the S election should be revoked in light of the new tax legislation
  • Sale or liquidation of an S-corporation
